We leverage our deep understanding of strategic finance to advise clients in making strategic and/or minority investments. Starting with an independent and objective assessment of each client’s current liability profile, we work closely with clients to analyze the balance sheet and identify optimal liability management transaction and execution alternatives.
MERGERS AND ACQUISITIONS
We are recognized as one of the premier advisors in mergers, acquisitions, and related strategic matters. Our practice is distinguished by senior banker involvement, deep industry sector expertise and global reach. We are involved in large and complex transactions, often across national borders. On M&A engagements, we evaluate potential targets or merger partners as well as financial and strategic alternatives. We advise on strategy, timing, structure, financing, and pricing. We also assist in negotiating and closing the transactions. On divestitures, we advise on sales and auctions in both strategic and distressed situations. We also advise on financial and strategic alternatives to a sale, such as recapitalizations, spin-offs, carve-outs, split-offs or tracking stocks.
As many as 70% or more of the M&A transactions we advise on are cross-border and involve multiple jurisdictions. We are experts at navigating local cultural, political, regulatory, and tax issues. We also help clients realize value from corporate assets, with innovative strategies for optimizing business portfolios. We advise on all aspects of execution, seeking success for the original company, for newly independent companies, and for shareholders. We advise on preventative and responsive measures to unsolicited activity such as hostile approaches or activist campaigns. We provide independent directors and special committees with objective advice, insight into shareholder concerns, clear and authoritative analysis, and an unrivaled track record in sensitive boardroom situations.
