Assets Under Management (AUM)
References to “Assets Under Management” or “AUM” represent the assets managed by Bravemarket Inc., together with its affiliates, independent investment firms, and its strategic partners (“Bravemarket”) as to which Bravemarket is entitled to receive a fee or carried interest (either currently or upon deployment of capital) and general partner capital. Bravemarket calculates the amount of AUM as of any date as the sum of: (i) the fair value of the investments of investment funds; (ii) uncalled capital commitments from these funds, including uncalled capital commitments from which Bravemarket is currently not earning management fees or carried interest; (iii) the fair value of investments in Bravemarket’s co-investment vehicles; (iv) Bravemarket's pro-rata portion of the AUM managed by strategic partnerships in which Bravemarket holds a majority or minority ownership interest; and (i) the fair value of other assets managed by Bravemarket. The pro-rata portion of the AUM managed by strategic partnerships is calculated based on Bravemarket’s percentage ownership interest in such entities multiplied by such entity’s respective AUM. Bravemarket’s calculation of AUM may differ from the calculations of other asset managers and, as a result, Bravemarket’s measurements of its AUM may not be comparable to similar measures presented by other asset managers. Governing Law / Venue
These Terms of Use are governed by the laws of the State of New York without giving effect to any principles or rules of conflicts of laws to the extent such principles or rules are not mandatorily applicable by statute and would require or permit the application of the laws of other jurisdictions, as to all matters, including, but not limited to, matters of validity, construction, effect, performance and remedies.
Bravemarket may bring an action against you in connection with any dispute, controversy or claim arising out of these Terms of Use, or your use of the Site ("Dispute") in any jurisdiction. Without limiting Bravemarket’s right to do so, you agree not to object to the exercise of personal jurisdiction by and to venue in the courts of the State of New York. Bravemarket may elect to resolve any Dispute through binding arbitration and, if it so elects, you and we agree that such Dispute shall be resolved pursuant to the Commercial Arbitration Rules of the American Arbitration Association. The seat of such arbitration shall be New York, U.S.A. Any such arbitration will be conducted as an individual arbitration and you agree that no arbitration shall be brought by you or resolved on a class, mass or representative basis.
